1.Parties and acceptance

These Terms are between you and [PLACEHOLDER-FOR-COUNSEL: legal entity name, state of organization and street address; owner decision 6] ("PlugMySite", "we", "us"). Legal notices: [PLACEHOLDER-FOR-COUNSEL: legal@ role mailbox on the company domain]. Privacy requests: see /privacy#requests.

You use the Services for business purposes, you are at least 18, and you are authorized to bind the business on whose behalf you accept these Terms.

You accept these Terms by ticking the agreement box at checkout or sign-up, by placing an Order, or by using the Services. We record your acceptance with the document version, the date and time, your IP address, your browser and the exact wording you accepted. Orders placed before a new version takes effect stay governed by the version you accepted.

You agree to sign electronically and to use electronic records. Your electronic signature has the same legal effect as a handwritten signature. You can ask us for a paper copy or withdraw this consent before you sign.

2.Accounts and security

You are responsible for the accuracy of your account details and for keeping credentials, PINs and staff access confidential. Tell us promptly if you suspect unauthorized use. You are responsible for activity under your account.

3.Plans and fees

Plans and prices are shown at checkout and on the pricing page: a Free plan ($0) when payments run through the payment processor we suggest, a Dashboard plan ($5.99 per month), an All-Access plan ($49 per month, with 1 custom feature request per month and maintenance), and Enterprise by agreement. Coupons are single-use and may be limited to an email address.

The Order Form shown before you pay is the record of what you are buying: line items, the amount authorized, any processing fee or surcharge, the renewal mode and dates, and any trial end. Card-processing rates and platform fees are the rates shown in your dashboard at the time of the transaction. Prices exclude taxes unless stated.

4.Billing, renewals, trials, cancellation and price changes

Plan subscriptions (Dashboard and All-Access) renew automatically every month at the price shown at checkout until you cancel. You can cancel at any time from your plan page or by emailing us; cancellation takes effect at the end of the current billing period, you keep access until then, and partial periods are not refunded. We email you at least 30 days before any price change.

One-time Orders and the other subscriptions we sell do not renew automatically unless the checkout page for that purchase says so. Annual renewals, where offered, are disclosed at checkout.

If a trial is offered, the checkout page states when it ends and what is charged then. [PLACEHOLDER-FOR-COUNSEL: confirm renewal and trial wording after owner decision 1 (opt-in renewal versus standard auto-renewal)]

5.Payment services

PlugMySite offers payment features that work with third-party processors (for example Stripe, Helcim and others we add). Processing is provided by the processor you choose under its own agreement with you. PlugMySite is not a bank, money transmitter or payment processor and does not hold your funds. You may (a) connect an account created through our platform or (b) connect your own processor account using credentials you control. You are the merchant of record for sales on your own account.

If you connect your own payment or AI provider keys, you authorize us to use them only to run the features you enable. You must use restricted keys with minimum permissions. We store credentials encrypted and delete them within 30 days of disconnect. If you suspect compromise you must rotate promptly and notify us. You can revoke or replace a key at any time; the related feature then stops. Provider charges on your key are yours. [PLACEHOLDER-FOR-COUNSEL: counsel to confirm key-custody, PCI responsibility matrix and liability wording]

For payments that PlugMySite creates on your behalf, refunds and dispute responses are handled at your written request, and we may debit your connected account, withhold payouts or reverse transfers to recover refunds, dispute amounts, dispute fees and losses. [PLACEHOLDER-FOR-COUNSEL: merchant-of-record model for invoices, booking deposits and the v1 API: owner decision 4]

Where permitted by law we add a card-processing fee or surcharge to some purchases; it is disclosed in the cart or on the checkout page and on your receipt before you pay. If you turn on a card surcharge for your own customers, you alone are responsible for surcharge compliance: processor registration, signage, a separate receipt line, no surcharging of debit or prepaid cards, and network and state limits.

We may recommend a payment processor and earn a share of the processing fees it collects from your sales; that is how the Free plan stays $0. You may use a different processor, in which case the Dashboard plan applies.

6.Professional services and Orders

Your card is authorized for the amount shown on the Order Form. We capture it when we accept your order, normally within 5 days; if we do not accept it the authorization is released and you pay nothing.

Deposits: [PLACEHOLDER-FOR-COUNSEL: deposit and refund policy: refundable window and percentage, or non-refundable; owner decision 2] The deposit is applied to your final invoice.

Remediation period. For 14 days after delivery we fix, free of charge, defects in our work that cause a delivered feature not to work as described. Design revisions: [PLACEHOLDER-FOR-COUNSEL: number of included revision rounds] per template order. After that period, fixes are billed per incident or included while a maintenance plan is active. Delivered features are otherwise not refundable. Approved refunds go to the original payment method within 10 business days. This section does not limit rights you have under law.

7.Domains and hosting

A domain is included free for the first year with a paid order that includes Payments; otherwise it is priced at registry cost and shown before you pay. You keep ownership of your domain and accounts. Domain registration, renewal and hosting details are stated at the point of purchase. [PLACEHOLDER-FOR-COUNSEL: Schedule C (Hosting and Domains): backups only if real, suspension, registrant, renewal]

8.Your data and privacy

We protect Client data with the safeguards in our Privacy Policy and notify you without undue delay if we confirm a breach affecting your data. For records you store about your own customers, patients or staff, we process them as your processor/service provider under our Data Processing Terms (a draft is at /legal/dpa; our service providers are listed at /legal/subprocessors). [PLACEHOLDER-FOR-COUNSEL: Schedule F, final Data Processing Terms and the sub-processor change-notice process]

Do not store or submit card numbers, full government ID numbers or protected health information unless we have agreed in writing. We do not currently sign Business Associate Agreements. [PLACEHOLDER-FOR-COUNSEL: owner decision 7: whether BAAs are offered]

After a plan ends or you close your account you can export your data for 30 days, then we delete it, except records we must keep. The in-app Delete button erases your data immediately and cannot be undone.

9.AI features and your own keys

AI features generate suggestions that may be inaccurate, incomplete or out of date. They are not legal, tax, accounting, payroll, HR, medical or financial advice. You are responsible for reviewing AI outputs before relying on or sending them. Do not enter payment card numbers, government IDs or health information into AI features unless your plan expressly allows it.

AI features send the text you submit, and for some features summaries of your business data, to third-party model providers. We do not control whether a provider retains prompts or uses them to improve its models on free or standard tiers. If you add your own AI provider key, calls made with that key are billed to your provider account.

10.Messaging and calls

You are the sender of messages you send through the Services and are responsible for obtaining and keeping the consent the law requires. Text messages need the recipient's prior consent (marketing texts need prior express written consent), must identify your business, and must honor STOP. Emails must include your postal address and a working unsubscribe link, and you must honor unsubscribes. You promise that you have the legal right to message each recipient.

If you enable voice features you are responsible for lawful call-recording and AI-disclosure notices to callers. Call audio is processed by Twilio (telephony) and OpenAI Realtime (AI voice), and transcripts are kept [PLACEHOLDER-FOR-COUNSEL: retention period, proposed 30 days]. Our service providers are listed at /legal/subprocessors. Our locked greeting tells callers they are speaking with an automated AI assistant and that the call is transcribed.

11.Acceptable use

You may not use the Services for unlawful, fraudulent, infringing or deceptive activity, to send messages without the recipient permission the law requires, for businesses prohibited by our payment processors, or to scan or attack systems you do not own. The community board lets visitors submit posts; by submitting one you grant us a non-exclusive license to display, store and moderate it, and we may decline or remove any submission. We may suspend or terminate access immediately for breach, legal risk or non-payment.

12.Intellectual property

Your Deliverables. [PLACEHOLDER-FOR-COUNSEL: ownership model, owner decision 3: assignment versus license, and whether source code is handed over. Engineering proposal: when you have paid everything due for an Order, we assign to you our rights in the custom content and code we create specifically for you, excluding Platform Materials; Platform Materials stay ours and you receive a perpetual, worldwide, non-exclusive license to them as embedded in the Deliverables] Third-party and open-source components keep their own terms. Software dashboards and features are provided as a service under a license that lasts while your subscription is active; you can export your data.

You keep ownership of content you provide. You grant us a worldwide, non-exclusive license to host, copy, process, transmit and display it (including by sending it to our AI and other service providers) solely to provide the Services to you. AI outputs generated for you are yours as between us, to the extent the law allows; we do not promise they are unique or free of third-party rights. We may name you as a customer unless you opt out by emailing [PLACEHOLDER-FOR-COUNSEL: opt-out address].

13.Third-party services and open source

Some features integrate third-party providers (payment processors, AI providers, email and telephony providers, registrars and hosts). Their own terms apply to their services, and they may change or discontinue them. Open-source components keep their own licenses. You, not PlugMySite, set and are responsible for the terms you present to your own customers.

14.Disclaimers and limitation of liability

The Services are provided "as is" except as expressly stated in these Terms. We do not guarantee uninterrupted or error-free operation, search ranking, or sales outcomes.

Our total liability for all claims in any 12-month period is limited to the greater of (a) fees paid in the prior 12 months and (b) $100. We are not liable for indirect, incidental, special, consequential or punitive damages or lost profits. These limits do not apply to fraud, gross negligence or wilful misconduct, your payment obligations, liabilities that cannot be limited by law, or [PLACEHOLDER-FOR-COUNSEL: data-breach obligations under the DPA: counsel to set any super-cap]. Nothing here excludes loss of data to the extent caused by our breach of the data section or of applicable law.

15.Indemnity

You will defend and indemnify us against third-party claims arising from your content, your messages, or your breach of these Terms. [PLACEHOLDER-FOR-COUNSEL: counsel to confirm scope and mutuality]

16.Disputes, arbitration and governing law

Payment disputes. If you believe a charge is wrong, contact [PLACEHOLDER-FOR-COUNSEL: billing@ role mailbox] first and we will respond within 5 business days. Nothing in these Terms limits any right you have under your card agreement or applicable law to dispute an unauthorized or incorrectly billed charge. If you dispute a charge for Services we delivered as described, we may submit these Terms and proof of delivery to your issuer and recover the dispute fee (currently up to $15).

Informal resolution first: email [PLACEHOLDER-FOR-COUNSEL: legal@ role mailbox]; after 30 days either party may pursue the remedies in this section.

Arbitration, class-action waiver and jury waiver: [PLACEHOLDER-FOR-COUNSEL: owner decision 10: whether arbitration is wanted at all and with what consumer carve-out; administrator and rules, fee allocation, hearing location or remote option, small-claims and injunction carve-outs, opt-out window, class-waiver severability. Until counsel supplies this text, no arbitration agreement or class or jury waiver is in force under these Terms.]

Governing law and venue: [PLACEHOLDER-FOR-COUNSEL: governing-law state and venue; owner decision 6], subject to non-waivable consumer laws.

17.Term, suspension, termination and data return

These Terms last while you have an account. You can cancel any plan at any time; paid plans end at the end of the current paid period. After a plan ends or you close your account you can export your data for 30 days, then we delete it, except records we must keep. We may suspend or terminate access as described in the acceptable use section.

18.General

For material changes we email the address on your account and post a dashboard notice at least 30 days before they take effect. If you do not agree you may cancel before the effective date without penalty; continued use afterward is acceptance. Orders placed before the effective date remain governed by the version you accepted.

Order of precedence: the Order Form, then the Schedules, then these Master Terms, then marketing. Marketing statements describe our services but are not separate promises; nothing here limits liability for fraud or misrepresentation. If any provision is held unenforceable, the rest remains in force. Notices go to the email on your account, and legal notices to us go to the address in section 1.

Schedules incorporated by reference once published, each separately versioned: A Payments and Fees, B Maintenance and Support, C Hosting and Domains, D Messaging, E AI and Your Own Keys, F Data Processing Terms, G HIPAA statement, H Refund and Cancellation Policy, I Sub-processors. [PLACEHOLDER-FOR-COUNSEL: Schedules A to I are not yet drafted; until published, the section text above is the whole agreement on those subjects]

These Terms are general information and not legal advice.
